Terms of Service

1. Engagement Structure & Statements of Work (SOW)

All engineering services provided by NIBRAS INFOTECH are executed through structured commercial Statements of Work (SOW) or mutually accepted scoping documents. Each SOW defines:

• Architecture deliverables, technical stack specifications, and API endpoints.
• Agile development sprint roadmaps and milestone acceptance criteria.
• Cloud hosting architecture, security tiers, and target deployment environments.
• Financial milestones, invoicing schedules, and SLA commitments.

2. Intellectual Property & Code Ownership

NIBRAS INFOTECH retains ownership of its pre-existing foundational utility libraries, generic developer tooling, and reusable framework boilerplates, for which the client is granted a perpetual, royalty-free, worldwide license for operational usage.

3. Confidentiality & Non-Disclosure

Both parties agree to treat all business information, source code repositories, database schemas, customer data, and system architectures as strictly confidential:

• Confidential records shall not be shared with any third party without express written consent.
• Engineering personnel assigned to the project are bound by enforceable non-disclosure agreements.
• Confidentiality obligations survive indefinitely following contract completion or termination.

4. User Acceptance Testing (UAT) & Warranty

To ensure the highest quality assurance standards:

• 14-Day Acceptance Period: Upon delivery of each milestone or release candidate, the client has fourteen (14) calendar days to perform acceptance testing against agreed criteria.
• 30-Day Defect Warranty: We provide a complimentary 30-day warranty following production deployment to remediate reproducible code defects or bugs that deviate from agreed specifications.
• Post-Warranty Maintenance: Long-term support, dependency version upgrades, and feature expansions are delivered via our Managed Operations SLA agreements.

5. Cloud Deployments, Uptime & SLAs

When NIBRAS INFOTECH manages cloud infrastructure or container orchestration:

• Architectures are provisioned for 99.9% to 99.99% system availability based on contracted tiers.
• Automated continuous backups, telemetry monitoring, and automated failover scripts are deployed.
• Scheduled maintenance windows are announced with a minimum of 48 hours notice.

6. Payment Terms & Milestone Invoicing

Invoices are issued based on agreed milestone schedules:

• Standard payment terms are Net-15 or Net-30 from invoice issuance as specified in the SOW.
• Accepted payment methods include direct bank wire transfers and verified corporate payment gateways.
• Disputed charges must be reported in writing within seven (7) business days of invoice receipt.

7. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business interruption).

NIBRAS INFOTECH's aggregate liability under any Statement of Work shall not exceed the total fees paid by the client under that specific Statement of Work during the preceding six-month period.
